as “Portal”, is a website providing information on Corporate Social Responsibility
initiatives and projects aimed at delivering a progressive social impact, on the
electronic media.
Strugence Business Platforms Pvt. Ltd is the Owner of this website. (the
Owner )
2. The access to this website is permitted subject to your accepting the following
terms and conditions. Upon accessing this website these terms and conditions will
automatically appear on the screen upon your clicking the icon “accept ‘’ in the
registration form , and you will be deemed to have accepted the these terms and
conditions and bind yourself of the terms and conditions. In case you do not wish
to accept these terms and conditions please do not proceed further to use the website.
Please note that these terms and conditions are subject to amendments, changes from
time to time without notice and every time you access this website you will be deemed
to have accepted the terms and conditions as applicable at time of access.
3. The Owner reserves the right to limit/ restrict/ alter/ amend/ terminate/ change/
modify/ reject the aspects, services, features on the website at any time or even
discontinue the services without any notice.
4. Definitions – Types of User accounts :
4.a. Non-Government Organisation - An organization which conceptualizes, plans and
executes projects which satisfy the norms for being termed as projects of Social
Impact and therefore become eligible for funding under the Corporate Social Responsibility
prescription under the appropriate regulations and statutes. Herinafter reffered
as "NGO".
4.b. Sponsors / Corporates / Funds – Organisations who are either incorporated under
the Indian Companies Act or are Funds formed either by bodies Corporate or Individuals
or group of Individuals who are desireous of receiving or perusing CSR project information
uploaded by various registered "NGO" users. Herinafter reffered as "Sponsors".
4.c. Media / Public – Organisations and individuals desirous of receiving press
releases and other information pertaining to CSR projects uploaded on the Portal.
5. The services of the Portal acts as an information medium between a NGOs and the
Sponsors and media and public at large. The information posted on the website are
as received from the NGO, the Sponsors and persons wanting to use the website, and
the website or the Owner do not accept any responsibility as to the contents of
such information and/or do not make any warranty as to the correctness/merchantability/use/fitness
of such information.
Except for collating/collecting information and passing on the same to the abovementioned
users as the case may be, the website or the Owner do not accept any responsibility
or obligation, legal or otherwise as between NGO and the Sponsor and in any transaction
which may or may not include any sale /purchase/lease and other transfer of goods
and services it is clearly indicated that the website and Owner shall not have any
privity of contract .
6. Any personal or organisational details provided by Users/ customers who access
the website own such information and the website or the Owner do not accept any
responsibility for such details, and the users / customer be it the NGO/Sponsor/Meadia
or any person using the website for commercial use do hereby indemnify the website
and the Owner with respect to any action / claim arising out of any commission/
omission for providing any information on the website.
7. The Portal may contain areas where persons accessing may share information/ comments/
views etc. It is made clear that no person accessing the website shall post any
information which could be offensive in language or obscene or which is prohibited
in law. Any such post would be deemed abuse of the Portal and therefore a breach
of these terms and conditions and thereby lead to the restriction of the user in
the use of the Portal as well as deactivation of the User’s registered online account
if any on the portal. Neither the portal nor the owner would be responsible or liable
for such abusive posts.
8. It is made clear that the website or the Owner are in no way responsible for
the receipt of the consideration of sale/purchase of any goods and services or for
the delivery of the goods or services including their merchantability or to the
quality and all such aspects of sale /purchase shall have to be dealt with by the
seller and the purchaser alone in course of any of their transaction even if information
regarding such opportunity/ goods or service may have been posted on the Portal
either by registered Users, advertisers or any person using the website. All sellers/purchasers/
Sponsors/ NGOs must exercise normal commercial and legal prudence and caution in
their dealings. Since there is no privity of contract between the website, the Owner
and the seller / purchaser of goods and services or Sponsors/ NGOs in any projects
or initiatives, the website or the Owner will in no way be responsible for any wrong
doing by any side.
9. Any transaction involving transfer of money either by way of deposit or advance
payment, donations, funding made as per the agreed terms between the Sponsor/ NGO/
seller /purchaser for the projects and initiatives termed CSR or any goods and services
is between the Sponsor/ NGO or seller /purchaser for any transaction agreed upon
amongst themselves and any refund / repayment will be governed by the terms and
conditions of the Sponsor/ NGO or seller /purchaser of such projects and initiatives
OR goods and services and the website or the Owner shall have no responsibility
for the same.
10. With respect to any person who is accessing the website from a territory other
than India must note that the website of the Owner makes no representation as to
the quality/merchantability/ effectivity/ viability of any projects and initiatives
or of any goods or services and that this website is operated and administered from
India and that the website or the Owner does not make any representation as to the
validity or the legality of the contents on the website in relation to the respective
persons’ country laws.
11. Upon registering yourself in the prescribed form and upon payment of the fee
prescribed, you will be allotted a unique and personalised user account which may
be operated by you by sing-in with your user-id and the password you have registered
at the time of registration. You will be responsible for safe preservation of the
username and you shall not use the same for any unlawful purpose or you shall not
share the same with any other person or third party. The website or the Owner shall
not be responsible for breach by you of this condition. And such breach would make
your user account on this website liable for termination.
12. The website or the owner reserve their right to terminate the use by you of
the services in the event of any breach of these terms and conditions.
13. Each user who accesses the website understands that any information seen or
downloaded from the website or any services used is at users’ own risk and that
the user will be responsible for the same. The website, the Owner or its employees
shall not be responsible for any damages, claims which are direct or indirect, consequential
in relation to the use of the services, unauthorised access, submission of data,
seller/purchaser disputes, commercial information and the likes.
14. This user agreement is subject to Indian laws and appropriate Courts within
the jurisdiction of Navi Mumbai alone will have jurisdiction to entertain any disputes
to the exclusion of all other courts.
15. While accessing the website you shall ensure that you comply with all the laws
as applicable to you in the territory including the laws of India.
16. Any taxes payable will be to your account for the use of the website.

18. By accepting the terms and conditions it is acknowledged by you that you have
read and understood all the terms and conditions and then only accepted the same.
You further accept that you will adhere to the acceptable usage policy given below

19. The use of the services shall not connote any agency or partnership between
the website or the Owner and the user.
20. By accessing the website you agree not to take any action which will in any
way hinder /disrupt the services or create any nuisance.
ACCEPTABLE USAGE POLICY
For purposes of this Acceptable Use Policy ("AUP"), a "Customer" is defined to include
any organization, individual, company or other entity with which CSRNOBLE a division
of Strugence Business Platforms Private Limited, Strugence Sustainable Ventures
hereinafter CSRNOBLE would also include the owner Company, has entered into any
agreement or contract for the supply of services, including through the CSRNOBLE
website. A Customer shall also be responsible for the use of the CSRNOBLE website
by any subsidiaries, affiliates, partners, Authorized Staff, suppliers, clients,
or any other person gaining access to the CSRNOBLE website in any manner whatsoever,
that directly or indirectly utilize the CSRNOBLE website provided to the Customer.
The Customer may only use the CSRNOBLE website for lawful purposes. The use of the
CSRNOBLE website in violation of any local or international legislation or regulation
is prohibited. This includes, but is not limited to, transmission of proprietary
or copyright material without the consent of the owner, material legally judged
to be threatening, offensive, or obscene, and third party material protected by
patent, trade secret or any other type of intellectual property right, whether or
not the Customer was aware of the content of the material or of the relevant law.
CSRNOBLE will fully co-operate with investigations of suspected criminal violations
and violations of systems or network security under the leadership of law enforcement
authorities.
Use of any information obtained via the CSRNOBLE website is at Customers' own risk.
CSRNOBLE is not responsible for the accuracy, quality, or content of information
obtained through use of the portal.
All CSRNOBLE services are for end-user use only and may not be resold/hired/rented/leased/transmitted
to third-parties without consent of CSRNOBLE, and concerned user if any.
The Customer will indemnify and hold CSRNOBLE harmless from any claim brought by
third parties alleging that use of the CSRNOBLE website by the Customer has infringed
any applicable local or international legislation or regulation. The Customer shall
defend and pay all costs, damages, awards, fees (including reasonable legal fees)
and final judgments awarded against CSRNOBLE arising from such claims. The Customer
shall immediately give CSRNOBLE written notice of any claim the Customer is involved
with or aware of. Should the Customer fail to do so, CSRNOBLE may defend such claims
at the Customer's sole cost.
CSRNOBLE will cooperate with any law enforcement authorities having jurisdiction
to discourage and resist abuses of acceptable use policies. CSRNOBLE reserves the
right to take corrective action upon notification to CSRNOBLE of unacceptable use
by the Customer. CSRNOBLE reserves the right, at its discretion and without notice,
to remove any material or data and to block the use of the network for one or more
users when their use or purpose does not meet the AUP.
The Customer may not circumvent user authentication or security of any host, network,
or account (referred to as "cracking" or "hacking"), reverse engineer, decompile,
deconstruct any programming, nor interfere with service to any user, host, or network
(referred to as "denial of service attacks").
The Customer is forbidden to send e-mail to any person who does not wish to receive
it. It is explicitly prohibited to send unsolicited bulk mail messages ("junk mail"
or "spam") of any kind (commercial advertising, financial and investment promotions,
political tracts, announcements, etc.) or to post the same or similar messages to
large numbers of newsgroups (excessive cross-posting or multiple-posting, also known
as "USENET spam"). A Customer caught spamming on the CSRNOBLE, or who persist in
the mass distribution of unsolicited e-mail messages, will be dealt with immediately
in accordance with this AUP.
The CSRNOBLE website may be used by the Customer to link into other networks worldwide
and the Customer agrees to conform to the acceptable use policies of these networks.
The Customer agrees, through its own operations, not to cause disturbances, outages
or other problems which may affect CSRNOBLE's network or network based equipment,
or which may adversely affect CSRNOBLE's ability to provide services.
CSRNOBLE reserves the right to prohibit activities that violate this AUP or may
damage its reputation.
CSRNOBLE will generally not monitor private electronic mail messages sent or received
by its Customers but may conduct reasonable investigation of a Customer (i) if required
by law or (ii) upon reasonable suspicion of a violation of this AUP to determine
if there has been a violation or (iii) when public safety may require it. CSRNOBLE
may at all time monitor usage of the CSRNOBLE website electronically to determine
if it is operating satisfactorily.
CSRNOBLE may disclose its Customers' information or information transmitted by means
of its facilities (i) to comply with legal requirements or (ii) where necessary
to protect CSRNOBLE and others from harm or (iii) where such disclosure is necessary
to the proper operation of the CSRNOBLE website.
The Customer acknowledges that CSRNOBLE is unable to exercise control over the content
of information passing through its facilities or carried as a result of supplying
the CSRNOBLE website and is therefore not responsible for that content.
CSRNOBLE reserves the right, at its discretion and without notice, to automatically
filter, disconnect and/or deny access to any Customer who violates this policy.
This remedy shall also be applied when the Customer has engaged in any of the foregoing
activities by using the service of another provider and, channelling such activities
through a CSRNOBLE account, re-mailer, or otherwise through the CSRNOBLE website,
or using a CSRNOBLE account as a mail drop for responses or otherwise using the
services of another provider for the purpose of facilitating the foregoing activities,
if such use of another party's service could reasonably be expected to adversely
affect the CSRNOBLE website. CSRNOBLE reserves the right, where feasible, to implement
technical mechanisms which block multiple postings as described above before they
are forwarded or otherwise sent to their intended recipients.
Violation of this AUP (direct or indirect, including by a third party) entitles
CSRNOBLE to remove immediately the offending material, establish immediate or temporary
filtering, deny access, suspend or terminate one or more subscriptions to the CSRNOBLE
website, or take any other appropriate action, as determined by CSRNOBLE in its
sole discretion, in addition to any remedies provided by any agreement to provide
access to the CSRNOBLE website. CSRNOBLE may give notice of violations but CSRNOBLE
reserves the right to act without notice when necessary, as determined by CSRNOBLE
in its sole discretion. Nothing in this AUP is to be construed to limit CSRNOBLE's
actions or remedies in any way with respect to any of the foregoing activities,
and CSRNOBLE reserves the right to take any additional actions it may deem appropriate
with respect to such activities, including without limitation, taking action to
recover the cost of identifying offenders and terminating their access to the CSRNOBLE
website, and charging to cover CSRNOBLE's costs in the event of such termination
of access or like situation. CSRNOBLE may co-operate with other service providers
to discourage and resist abuses of acceptable use policies. CSRNOBLE reserves the
right to take corrective action upon notification to CSRNOBLE of unacceptable use
on other networks. The CSRNOBLE website may be linked to other networks world-wide
and the Customer agrees to conform to the acceptable use policies of these networks.
The Customer agrees, through its operations, not to cause disturbances, outages
or other problems which may affect CSRNOBLE's or any other network or network based
equipment, or which may adversely affect CSRNOBLE's ability to provide access to
the CSRNOBLE website.
Nothing contained in this AUP shall be construed to limit CSRNOBLE's actions or
remedies in any way with respect to any of the foregoing activities, and CSRNOBLE
reserves the right to take any and all additional actions it may deem appropriate
with respect to such activities, including without limitation, taking action to
recover the costs and expenses of identifying offenders and removing them from the
CSRNOBLE website, and levying cancellation charges to cover CSRNOBLE's costs in
the event of disconnection of dedicated access for the causes outlined above. In
addition, CSRNOBLE reserves at all times all rights and remedies available to it
with respect to such activities at law or in equity.
Customer will indemnify and hold CSRNOBLE harmless from any claim brought by third
parties relating to the Customer's use of the CSRNOBLE website. The Customer must
defend and pay all damages and costs (including legal fees) arising from such claims.
The Customer must immediately notify CSRNOBLE of any claim or potential claim, within
the Customer's knowledge, involving the Customer related to the CSRNOBLE website.
Failure to do so gives CSRNOBLE the right to defend such claims at Customer's sole
cost and expense.
CSRNOBLE is committed to providing quality service to all of its Customers. While
the AUP may appear harsh, CSRNOBLE believes it is necessary to ensure that it is
able to provide professional, efficient, stable service within an environment of
security and trust which its Customers may require and come to expect from an organization
such as CSRNOBLE.
